
The partnership establishes AMD as a core strategic compute provider to OpenAI, enabling large-scale deployment of AMD technology across multiple GPU generations. It builds on prior collaborations, including the MI300X and MI350X series deployments, and extends to AMD’s rack-scale AI solutions.

For OpenAI, the agreement represents a key step in building the compute capacity required to advance generative AI research and applications. As part of the agreement, AMD has issued OpenAI a performance-based warrant for up to 160 million shares of AMD stock. Vesting will occur as specific milestones are met, beginning with the initial 1GW deployment and scaling to the full six-gigawatt capacity. Vesting is also linked to AMD’s share-price performance and OpenAI achieving technical and commercial milestones necessary to support large-scale deployments.
